A legal disclaimer

Eligibility & Accounts

You must be at least 18 and authorized to bind the entity you represent. Account credentials are confidential; you are responsible for all activity under your login.

Description of Services

Raydar IQ provides a service that uses cloud-based voice agents that place mystery-shop calls, generate performance analytics, and deliver training recommendations. Professional-services engagements may be governed by a separate SOW. The work is performed in house

​

 

License & Intellectual Property

All underlying software, models, and dashboards are FutureMind Labs LLC intellectual property. You retain ownership of call recordings, transcripts, and any data you upload; you grant us a worldwide, royalty-free license solely to operate, improve, and support the Services.

User Responsibilities & Acceptable Use

You agree not to (a) violate call-recording or two-party consent laws, (b) reverse-engineer the platform, (c) transmit malicious code, or (d) use the Services to harass or mislead.

 

 

Fees, Payment, Trials, Refunds

Subscriptions are billed [monthly / annually] in advance per active location. Fees are non-refundable except as required by law. Unpaid invoices > 30 days may result in suspension.

 

 

Call Recording Consent & Compliance

Customer is responsible for ensuring all required disclosures and consents are obtained before Raydar IQ places calls. However, ultimate compliance remains the Customer’s obligation.

Privacy & Data Processing

Our collection and use of information is described in the Privacy Policy. To the extent the EU or UK GDPR applies, the parties agree to the Data-Processing Addendum incorporated by reference.

 

 

Third-Party Services

The Services integrate with telephony (Twilio), cloud hosting (AWS/GCP), and optional AI processing providers. We are not liable for outages or data loss caused by third-party providers.

 

 

Confidentiality & Feedback

Each party will protect confidential information with reasonable care. You grant us a perpetual, royalty-free license to use feedback for improving the Services.

 

 

Beta Features

Beta features are provided “as is,” without warranty, SLA, or support, and may be discontinued at any time.

 

 

Service Levels & Support

Raydar IQ will use commercially reasonable efforts to maintain > ⟨99.5 %⟩ monthly uptime. Target response time for support tickets is ⟨24 hours⟩ on business days.

Disclaimers

Except as expressly stated, the Services are provided “as is.” We disclaim all implied warranties, including merchantability and fitness for a particular purpose.

 

 

Limitation of Liability

Our total liability under these Terms will not exceed the fees paid by Customer in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

 

 

Indemnification

Customer will indemnify and hold Raydar IQ harmless against claims arising from Customer’s breach of Sections 5 or 7.

 

 

Termination & Suspension

Either party may terminate for material breach with 30 days’ notice if breach is not cured. Upon termination, Customer’s data will be deleted after ⟨90 days⟩ unless otherwise requested.

 

 

Governing Law & Dispute Resolution

These Terms are governed by the laws of Michigan, excluding its conflict-of-law rules. Any dispute will be resolved by binding arbitration Okemos, MI under the rules of ⟨AAA/JAMS⟩.

 

 

Changes to Terms

We may update these Terms; material changes will be posted 30 days in advance. Continued use after the effective date constitutes acceptance.
